Section 1.0Acceptance of Terms and Provision of Services
These Terms of Service ('Terms', 'Agreement') constitute a legally binding agreement between CollabBase ('Company', 'we', 'us', or 'our') and the individual or entity ('Customer', 'User', or 'Workspace') accessing or using our creator discovery engine, campaign workflows, search APIs, and outreach management platform (collectively, the 'Service'). By creating a workspace, purchasing a subscription, or using the Service, Customer accepts and agrees to be bound by all terms, conditions, and policies set forth herein.
Section 2.0Search Allowances and Rolling 24-Hour Reset Policy
Search execution is governed by the allowance assigned to the Customer's plan:
• Free Trial Allowance: Free accounts receive five (5) one-time trial searches. This allowance does not reset.
• Paid Daily Allowance: Starter, Growth, and Pro accounts receive five (5) searches per rolling twenty-four (24) hour period. The window starts with the first paid-plan search in that window.
• Quota Monitoring and Anomaly Auditing: Usage may be reviewed for suspected abuse or attempts to bypass security and rate-limiting controls.
Section 3.0Subscription Plans, Search Top-Up Packs, and Payment Terms
Starter, Growth, and Pro subscriptions are billed in advance according to the selected billing interval. The Free tier is not a recurring paid subscription. Paid subscriptions unlock expanded search depths, increased creator limits, and tier discounts. Customers may purchase standalone search top-up packs; those search balances are consumed after included trial or daily searches are exhausted. Paid subscriptions may be canceled before renewal through Billing. Top-up purchases are non-refundable once allocated to an account balance, except where law requires otherwise.
Section 4.0User Conduct and Prohibited Activities
Customer is the sender and controller of each partnership proposal and must provide truthful identity information, a valid postal address, and a lawful contact basis. Customer must honor creator objections, bounces, provider warnings, and the Acceptable Use Policy. Customers may not use misleading headers or subjects, remove required sender or preference text, evade pacing or account-health pauses, automate social accounts, harass recipients, discriminate unlawfully, or resell creator data. CollabBase independently remains responsible for its product controls and creator-data catalog.
Section 5.0Connected Accounts and Platform Integration Rules
Direct email is sent from the Customer's verified Google account only after a user authorizes the message or batch. If the Customer enables Gmail inbox synchronization, CollabBase requests read access and limits processing to threads created by CollabBase outreach; unrelated mailbox threads and attachments are not imported. CollabBase may pace, cancel, or pause delivery for abuse, provider enforcement, authentication problems, excessive hard bounces, complaints, confirmed opt-outs, or an unresolved possible opt-out.
The optional Instagram and TikTok browser helper prepares a message but requires the user to press the platform's Send control. It does not silently send, bulk-click, or scrape inbox previews. If Customer separately connects an eligible Instagram professional or TikTok Business account and the provider grants the required access, official APIs and webhooks may synchronize inbound replies to outreach conversations. Customer authorizes CollabBase to process those replies solely to provide the shared inbox, reply workflow, suppression, and campaign-stage features. A creator's ordinary no-contact request applies to the sending business. A separate privacy-right request to CollabBase may require catalog-wide restriction or deletion.
Section 6.0User Authorization, Platform Rules, and Automated Assistance
Customer must connect only accounts it owns or is authorized to administer, request only lawful creator partnerships, and comply with each connected provider's terms, policies, rate limits, and messaging restrictions. Customer remains responsible for message truthfulness, recipient selection, and any consent or other lawful basis required in the recipient's jurisdiction. CollabBase may use automated classification to identify replies, questions, negotiations, agreements, bounces, or opt-outs and to update campaign workflow. Customer must review material decisions and remains responsible for the final communication. CollabBase may revoke integrations or suspend use that threatens provider approval, account integrity, recipient safety, or Service security.
Section 7.0Intellectual Property Rights
Company retains all right, title, and interest in and to the Service, including proprietary search algorithms, taxonomy schemas, user interface designs, trademarks, and system architecture. Customer is granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the active subscription term solely for internal business operations.
Section 8.0Limitation of Liability and Warranty Disclaimer
THE SERVICE IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. COMPANY'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO COMPANY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
Section 9.0Governing Law and Termination
These Terms shall be governed by and construed in accordance with the laws of the governing jurisdiction, without regard to conflict-of-law principles. Company reserves the right to suspend or terminate workspace access upon material breach of these Terms, non-payment, provider enforcement, or security violations.
